บทคัดย่อ

การศึกษาครั้งนี้มีวัตถุประสงค์เพื่อให้ทราบปัญหาที่เกิดขึ้นกับผู้เช่าพื้นที่ ในศูนย์การค้าที่ทำสัญญาเช่าพื้นที่จากผู้ให้เช่า แต่ผู้ให้เช่าไม่สามารถก่อสร้างพื้นที่เช่าได้ตามที่โฆษณา หรือไม่สามารถส่งมอบพื้นที่เช่าให้กับผู้เช่า ทำให้ผู้เช่าไม่ได้รับพื้นที่เช่าเพื่อใช้ประโยชน์ ตามสัญญา ซึ่งปัญหาดังกล่าวเกิดจากการใช้สัญญาสำเร็จรูป จนผู้เช่าไม่ได้รับความเป็นธรรม และ ผู้เช่ายังได้รับผลกระทบในการใช้สิทธิทางศาล เมื่อมีการฟ้องร้องนำข้อพิพาทดังกล่าวเป็นคดีขึ้น สู่ศาล ศาลจะพิจารณาโดยนำหลักเรื่องความศักดิ์สิทธิ์ของเจตนาและเสรีภาพในการทำสัญญา มาวินิจฉัย ผู้เขียนได้ทำการศึกษาจากกฎหมายที่เกี่ยวข้อง เช่น พระราชบัญญัติคุ้มครองผู้บริโภค พ.ศ. 2522 ซึ่งแก้ไขเพิ่มเติมโดยพระราชบัญญัติคุ้มครองผู้บริโภค (ฉบับที่ 2) พ.ศ. 2541 พระราชบัญญัติว่าด้วยข้อสัญญาที่ไม่เป็นธรรม พ.ศ. 2540 รวมถึงหลักกฎหมายแพ่งและพาณิชย์
ผลการศึกษาพบว่า สัญญาเช่าพื้นที่ระหว่างผู้เช่าและผู้ให้เช่านั้น เป็นสัญญาสำเร็จรูป ซึ่งผู้ให้เช่าเป็นผู้กำหนดข้อสัญญาไว้ล่วงหน้าและจัดทำขึ้นเพียงฝ่ายเดียว สัญญาเช่นนี้นับเป็นข้อสัญญาที่ไม่เป็นธรรม มีข้อกำหนดในสัญญาที่หลีกเลี่ยงและไม่ปฏิบัติตามกฎหมายและข้อกำหนดที่เกี่ยวกับการให้เช่าพื้นที่ กฎหมายที่มีอยู่ปัจจุบันไม่มีบทลงโทษที่เข้มงวด กับผู้ประกอบการให้เช่าพื้นที่ เป็นเหตุให้ผู้ให้เช่ากระทำการผิดไปจากที่กฎหมายกำหนดไว้อย่างต่อเนื่อง สัญญาที่ผู้ให้เช่าทำกับผู้เช่านั้น จะระบุแต่เพียงหน้าที่และความรับผิดของผู้เช่าแต่เพียง ฝ่ายเดียว เช่น กำหนดให้ผู้เช่าต้องชำระเงินตามระยะเวลาที่กำหนด และให้เปิดร้านจำหน่ายสินค้า จนครบกำหนดอายุสัญญาเช่า หากชำระเงินไม่ตรงตามกำหนดเวลา หรือไม่ปฏิบัติตามสัญญา จะถูกริบเงินที่ชำระไว้แล้วทั้งหมด พร้อมชำระดอกเบี้ยและค่าปรับ แต่ไม่ได้ระบุถึงหน้าที่และความรับผิดของผู้ให้เช่าว่าจะต้องดำเนินการก่อสร้างพื้นที่เช่าพร้อมสาธารณูปโภคอย่างไร แล้วเสร็จเมื่อไหร่ หากไม่เสร็จตามกำหนดจะต้องรับผิดอย่างไรต่อผู้เช่า ตลอดจนกรณีผู้เช่าถูกรอนสิทธิจากเจ้าของกรรมสิทธิในพื้นที่เช่าเรียกเอาพื้นที่เช่าคืน ผู้ให้เช่าจะรับผิดต่อผู้เช่าอย่างไร เป็นต้น ซึ่งเป็นการ เอาเปรียบผู้เช่าเกินสมควร ถือได้ว่าเป็นข้อสัญญาไม่เป็นธรม พระราชบัญญัติว่าด้วยข้อสัญญา ที่ไม่เป็นธรรมธรรม พ.ศ. 2540
ผู้เขียนจึงมีข้อเสนอแนะว่า รัฐควรออกกฎหมายลำดับรอง คือ “ประกาศคณะกรรมการว่าด้วยสัญญา เรื่อง ให้ธุรกิจให้เช่าพื้นที่ศูนย์การค้าเป็นธุรกิจที่ควบคุมสัญญา” เพื่อเป็นกฎหมายคุ้มครองผู้เช่าพื้นที่ศูนย์การค้าโดยตรง เนื่องด้วยกฎหมายที่มีอยู่เดิม คือ พระราชบัญญัติคุ้มครองผู้บริโภค พ.ศ. 2522 ซึ่งแก้ไขเพิ่มเติมโดยพระราชบัญญัติคุ้มครองผู้บริโภค (ฉบับที่ 2) พ.ศ. 2541 พระราชบัญญัติว่าด้วยข้อสัญญาที่ไม่เป็นธรรม พ.ศ. 2540 รวมถึงหลักกฎหมายแพ่งและพาณิชย์ ไม่สามารถคุ้มครองผู้เช่าพื้นที่เท่าที่ควร และกฎหมายดังกล่าวเป็นกฎหมายเก่า ไม่ทันกับยุคสมัย มีบทลงโทษตํ่า ไม่สามารถป้องกันมิให้ผู้ให้เช่าทำการฝ่าฝืนกฎหมาย คณะกรรมการว่าด้วยสัญญาจึงควรออกประกาศ ให้ธุรกิจให้เช่าพื้นที่ศูนย์การค้าเป็นธุรกิจที่ควบคุมสัญญาและมีข้อกำหนดหน้าที่ ความรับผิด และบทลงโทษ ระหว่างผู้เช่าและผู้ให้เช่า เพื่อให้สัญญาเช่าพื้นที่ศูนย์การค้าตั้งอยู่บนพื้นฐานแห่งความยุติธรรมและเสมอภาคทั้งผู้เช่าและผู้ให้เช่า

Abstract

The purpose of this study was to identify the issues experienced by retail tenants in shoppping mall areas who entered into Shopping Retail Lease Agreement (the “Agreement”) with the landlord, but the landlord was not able to construct the unit as advertised or not able to deliver the unit to the tenant, resulting in the unavailability of the unit as agreed. The issues arose from the standard contract, which is unfair to the tenant and affects the tenant’s legal right to pursue further legal actions. When the case is filed to court, the court shall consider the Autonomy of Will and the Freedom of Contract doctrines. The author has studied the related laws such as Consumer Protection Act B.E.2522 as amended by Consumer Protection Act (No.2), B.E. 2541, Unfair Contract Terms Act B.E. 2540 including Civil and Commercial laws.
It was concluded in this study that the Agreement between the landlord and the tenant was a standard contract, which was prepared in advance, solely by the landlord. This type of contract is considered unfair. The terms were unavoidable and not in accordance with the laws and rules relating to leasing. The current laws does not impose any strict sanctions on the landlord. This results in continuous illegal actions by the landlord. The Agreement contains only the obligations and responsibilities of the tenant such as the tenant must make timely payment and open the store in accordance with the term of the Agreement. If the payment has not been made accordingly, or if there are any defaults by the tenant, the landlord shall have the rights to forfeit all paid money with interest and penalty. At the same time, the Agreement does not contain any obligations and responsibilities of the landlord on how the construction infrastructures must proceed, when must it be complete, what shall be the consequences when the landlord cannot fulfill his obligations, also including the penalty when the tenant was evicted by the owner of the unit. These are considered unduly unfair to the tenant, thus unfair contract terms according to Unfair Contract Terms Act B.E. 2540.
The author propose that the additional rule must be enacted, which is “The Committee on Contracts Regulation on the Control of Shopping Retail Lease Agreement,” to directly protect the tenant of shopping retail by the reason that the current laws which are Consumer Protection Act B.E.2522 as amended by Consumer Protection Act (No.2), B.E. 2541. Unfair Contract Terms Act B.E. 2540 including Civil and Commercial laws does not sufficiently provide protection to the tenant. The laws are also obsolete and do not impose any serious sanctinos on the landlord. The Committee on Contracts should enact the regulation to control the Shopping Retail Lease Agreement including duties and responsibilities, liabilities and penalties between the landlord and the tenant, thus the Agreement can be based on justice and equality to both parties.
